As Head of Legal, you will provide executive management and day to day support for all Legal, Risk & Compliance activities across the organization. You will act as an effective guardian for the business and ensure its compliance with the law within all its operating regions

Job Description

Legal Advisory/Company Secretariat

  • General Legal and Secretarial Function: Manage a best-in-class legal secretariat to provide legal advice, corporate governance and company secretariat services to the company and all its international subsidiaries.
  • Contract Management: Manage the company’s contract lifecycle by creating templates, drafting agreements, reviewing all contracts and maintaining a register of all contracts.
  •  Policy Advisory: Provide advice and counsel to the organization on enterprise-level objectives such as drafting, reviewing and approval of all internal corporate policies and procedures.
  • Legal analysis and research: Provide advice on legal issues, interpret laws, rulings and regulations and advise on best business alternatives.
  • Advise Management: Research and provide legal advice to the CEO and management on all regulatory requirements for establishing operations in new jurisdictions.
  • Advise the Board: Prepare and manage corporate resolutions, fillings, minutes, and other documentation relating to the Board and its committees
  • Represent Company Leadership: Represent or oversee the representation of the CEO, the Board and management in judicial and administrative proceedings, and in negotiations with various agencies.
  • Legal Projects Leadership: Lead complex legal projects that span legal, business, and functional boundaries including intellectual property portfolio development, risk management, acquisitions, divestitures and joint ventures.
  • Legal Risk Management: Identify potential legal and compliance risks relevant to our current operations and develop legal strategies and solutions.
  • Audits: Oversee any internal and external audits or regulatory examinations.
  • Product (Legal) Risk Oversight: Understand the SeamlessHR value proposition and ensure appropriate legal risks underlying the value architecture is adequately managed. Provide advisory and support to business and technical teams on inherent legal risk and compliance issues during development cycle.
  • Legal Relationship Management: Select, oversee and manage all external legal advisers across the HQ and the company’s subsidiaries to ensure timeous service delivery that is cost efficient and of the highest quality.
  • Litigation: Provide counsel and oversight for all litigation matters in collaboration with  external counsel, judging the merits of major litigation, and approving settlements of disputes where needed.
  • Training and Capacity Development: Develop and provide trainings on legal issues, processes and policies to multi-level audiences in all departments in our Holdco. and country offices.

Global Compliance Culture Champion

  • Champion the Company Culture: Establish the overall philosophy and strategy of the organization regarding all legal matters and decisions, and ensure that all practices, policies, business activities and decisions are consistent with Company’s values and culture.
  • Drive Employee Adoption of Legal Best-practice: Drive employees adoption of  internal policies, controls, risk management and high ethical standards.
  • Maintain Up-to-date Regulatory Compliance: Keep abreast with developments from regulators of the company within multiple jurisdictions.
  • Ensure Data Governance Compliance: Ensure compliance with relevant and applicable data privacy laws, guidelines and stipulations such as GDPR, NDPR etc.
  • Ensure HR and Labour-related Compliance: Understand and provide insights on applicable labour laws in relevant operating jurisdictions.


  • Apply and promote SeamlessHR culture and core values at all times.
  • Undertake ad hoc duties as agreed with the CEO or Management.

Job Experience

  • LLB and B.L in Law
  • LLM will be an added advantage
  • 8+ years of relevant legal experience with 2+ years as a senior in-house legal counsel in a reputable corporate entity and a top tier law firm.
  • Excellent knowledge of corporate law
  •  Legal and compliance experience in a SaaS company is an added advantage.
  •  A strong business acumen.
