Job Summary

The Senior Legal Counsel & Company Secretary will provide strategic and hands-on legal leadership across the organisation. This role will oversee all legal, corporate governance, risk, and compliance matters, act as Company Secretary to the Board, and serve as a trusted advisor to executive management, ensuring the business operates in full compliance with applicable laws while enabling confident and responsible growth.

Job Details

  1. Legal Advisory & Corporate Governance 
  • Provide legal advice and guidance to the CEO, executive management, and business teams on a wide range of corporate, commercial, and regulatory matters.
  • Serve as Company Secretary, managing Board and committee governance, including agendas, minutes, resolutions, statutory filings, and corporate records.
  • Advise on legal requirements for business expansion into new jurisdictions and support entity setup where required. 

     2. Contracts & Commercial Legal Support 

  • Own the end-to-end contract lifecycle, including drafting, reviewing, negotiating, and maintaining templates and a central contract register. 
  • Provide legal support to commercial, product, and technical teams to manage legal risks arising from products, partnerships, and customer engagements. 

     3. Risk, Compliance & Regulatory Oversight 

  • Identify, assess, and manage legal and regulatory risks across all operating regions. 
  • Ensure compliance with applicable laws and regulations, including data protection and privacy requirements such as GDPR, NDPR, and other relevant frameworks. 
  • Oversee internal and external audits, regulatory reviews, and compliance assessments as required. 
  • Provide guidance on HR, labour, and employment-related legal matters across jurisdictions. 

     4. Product & Business Legal Risk Management 

  • Develop a strong understanding of the SeamlessHR products and value proposition to proactively advise on legal and compliance risks during product development and deployment. 
  • Partner with business and technical teams to embed legal and regulatory considerations into decision-making and execution. 

     5. Litigation & External Counsel Management 

  • Oversee all litigation, disputes, and regulatory proceedings in collaboration with external counsel. 
  • Assess litigation risks, approve legal strategies, and support dispute resolution or settlement where appropriate. 
  • Select, manage, and evaluate external legal advisers to ensure quality, timely delivery, and cost effectiveness across all jurisdictions. 

    6. Legal Operations, Training & Culture 

  • Establish and continuously improve legal processes, policies, and frameworks to support a growing, multi-entity organisation. 
  • Deliver legal and compliance training to employees across functions and locations to promote awareness, ethical conduct, and policy adherence. 
  • Promote SeamlessHR’s core values and high ethical standards in all legal, governance, and compliance activities. 

Requirements

  • LLB and B.L in Law. 
  • LLM will be an added advantage. 
  • Minimum of 8 years’ relevant legal experience, gained in a reputable law firm and/or as senior in-house counsel. 
  • Prior experience supporting a technology, SaaS, FinTech, or highly regulated business is strongly preferred. 
  • Excellent knowledge of corporate, commercial, and regulatory law. 
  • Demonstrated experience in company secretarial duties and Board governance. 
  • Practical understanding of data protection, privacy, and regulatory compliance across multiple jurisdictions. 
  • Strong business acumen with the ability to balance legal risk and commercial objectives. 
  • Proven ability to manage external counsel and complex legal matters effectively.
